AMD agreed to acquire World Labs in an all-stock transaction valued at about $8.2 billion, adding the spatial-intelligence startup’s AI research team as the chipmaker looks to shape future computing platforms around emerging AI workloads.

The deal is expected to close by the end of 2026, subject to regulatory approvals and other customary closing conditions, according to AMD.

World Labs, founded in 2024, develops spatial-intelligence models that can generate, reconstruct and simulate interactive 3D environments from text, images and video. The company also develops technology for robot learning and simulation.

The company’s relationship with AMD predates the acquisition as AMD CEO Lisa Su was an early investor in World Labs, and the two companies began a deeper technical partnership last year focused on model training and inference optimization using AMD GPUs.

World Labs co-founder and CEO Fei-Fei Li wrote on Substack that World Labs had reached a point where expanding its spatial-intelligence models research would require greater scale, broader reach and tighter integration with computing infrastructure.

“Just like I knew it was time to do a startup to jumpstart the work of creating foundation models beyond LLMs and achieve the most impact in AI, it’s again very clear that the right path for myself and World Labs is to continue our mission as a part of AMD,” Li wrote. Following the transaction, World Labs will continue its AI model research. Li will join AMD as executive vice president and chief scientist, reporting to Su.

The acquisition expects to bring model-development expertise closer to its hardware, software and systems businesses as AI expands into areas including reasoning, robotics, simulation and physical AI, AMD said.

“Building the compute platforms for the next generation of AI requires a deep understanding of how models are evolving,” said Su. “Fei-Fei and the World Labs team bring exceptional research leadership and model expertise. Together, we can use that insight to develop the hardware, software and systems that will power the next generation of AI and strengthen the open AI ecosystem.”

The company has since built research capabilities spanning images, video, spatial reconstruction and robotics simulation. Its work also expanded through the acquisition of SceniX, which World Labs is using to develop simulation technology for robotics.

More recently, World Labs introduced Atlas, an AI architecture designed to predict new camera views from 2D images. According to World Labs, the model combines generative AI with multiview geometry to address sparse reconstruction, a computer-vision problem involving the recovery of 3D structure from a limited number of images.

According to Li, World Labs has seen interest in Atlas for robotics reinforcement-learning environments, entertainment and therapy scene generation, and real-world reconstruction for real estate, design and construction.

AMD did not disclose additional financial terms beyond the approximately $8.2 billion all-stock valuation.
